Membership Terms

This agreement, (the “Agreement”) establishes the terms of your use of and access to the services offered by CareScout, LLC (“CareScout”) relating to your care needs, (the “Membership”). The terms of this Agreement, together with the terms of use of the CareScout.com website, govern your use of and access to the CareScout Quality Network including related information, and other services on the website (the “Services”).

This Agreement contains important information and disclaimers related to your Membership, so please read it carefully.

By using the Services, you agree to be bound by this Agreement. The Services are provided by CareScout. Unless stated otherwise, any new services and materials added to the membership also will be covered by this Agreement.

CareScout is not health or long-term care insurance. We don’t pay providers or process claims. You’ll have to pay your provider directly, but we will help you get access to preferred pricing from contracted providers. Your range of savings will vary depending on the type of provider and service received.

Definitions

The term “Personal Information” refers to any information that can be used to reasonably identify you and could be considered health information under applicable law, such as your name, phone number, or email address.

The term “Provider” as used in this Agreement shall mean facilities providing long-term care services, home care providers, and other similar businesses associated with the provision of care needs.

The term “Partner” as used in this Agreement shall mean businesses that have contracted with CareScout to provide Members with services or products.

The term “CareScout ID” as used in this Agreement shall mean the membership number that is assigned to you by CareScout that you will use to obtain preferred pricing from CareScout Quality Network Providers.

Membership Information

How to become a member

You can become a member by contacting CareScout through its website or by calling 888-957-9700 and receiving a CareScout ID. Your CareScout ID will provide you with access to all of the Services, including receiving preferred pricing from the CareScout Quality Network. Membership is currently available in Pennsylvania, North Carolina, Virginia, and Tennessee.

What membership provides

Your membership provides you with the ability to receive preferred pricing from Providers who meet CareScout’s rigorous quality standards. These Providers are part of the CareScout Quality Network. Detail regarding the CareScout Quality Network, including preferred pricing, quality reviews and invoice validation is provided below in the section, “CareScout Quality Network”. Changes in pricing may occur from time to time and you should inform your Provider that you are a CareScout member to receive your preferred pricing.

Use of Services

The Services are intended solely as a general educational aid, to make you aware of current and upcoming offerings from CareScout, and to assist you in making choices as to which Providers or Partners suit your care needs.  

You are advised that CareScout is not responsible for the accuracy of the information or for any errors, omissions, or the application of this information or for any consequences arising therefrom. Therefore, CareScout shall have no liability to any person or entity with regard to claims, loss, or damage caused or alleged to be caused, directly or indirectly, by the use of information contained therein.

The Services do not constitute medical or health care advice and are not a substitute for care from a physician or other qualified health care professional. Always seek the advice of your physician or other qualified health care professional with any questions you may have regarding a medical condition and prior to starting any new treatment. Nothing contained in this website is intended to be used for medical diagnosis or treatment.

The Services are provided with the understanding that CareScout is not engaged in providing legal, medical, counseling, or other professional services or advice. Your use of the Services is subject to the additional disclaimers and caveats that may appear throughout the website or in other CareScout communications.

No Cost to be a Member: We do not charge you to search for Providers using our website. We’ll only charge you when you use a Provider in our CareScout Quality Network and obtain that Provider’s preferred pricing.

Preferred Pricing fees:

When you receive preferred pricing from a CareScout Quality Network Provider, you pay us a fee that equals fifty percent (50%) of the savings that we negotiate for CareScout members. For example, if we save you $100 you owe us $50.

Payment Process:

CareScout will review and validate the invoice from your Provider to ensure that your preferred pricing was reflected. Upon validation CareScout will send it back to your Provider. This will reflect the Provider’s fees and you will be billed directly by the Provider for their services.

Your Personal Information may be included in these invoices. CareScout and your Provider may also need exchange your Personal Information in relation to validating your invoice. Where required by law, you authorize CareScout and your Provider to share your Personal Information with each other for invoice validation purposes.

Separately, CareScout will create an invoice that reflects 50% of the savings in your Provider’s invoice. This reflects CareScout fees for our services.  You will receive an invoice by email for these amounts directly from CareScout and you will be able to pay your invoice using that link. 

We are committed to billing transparency and will provide you with time to receive your invoice from the Provider before you need to pay the CareScout invoice. Our invoices will be sent to you after we have validated your savings per invoice and you are required to make payments to us within sixty days (60) days of your receipt of our invoice. 

Keep in mind that you are responsible for payment to the Provider as you incur costs. Some Provider services may be excluded from preferred pricing, you will not incur any costs from CareScout for any excluded services. If you have any questions regarding billing, please contact us at connect@carescout.com or 888-957-9700.

How to cancel membership:  You may cancel your membership at any time by contacting us at 888-957-9700. Once you confirm your cancellation, your membership will no longer be active and you will no longer receive the CareScout preferred pricing from CareScout Quality Network Providers. You are still responsible for any fees to CareScout for preferred pricing on Provider services rendered prior to cancellation. We do not charge enrollment or subscription fees. Payments you’ve made to us for access to preferred pricing cannot be refunded.

Use of your Personal Information

To provide you the Services, CareScout may need to collect, store and share your Personal Information. CareScout will only use your Personal Information in accordance with our Privacy Policy and in accordance with the terms of this Agreement. Personal Information refers to any information that can be used to reasonably identify you and could be considered health information under applicable law, such as your name, phone number, or email address. CareScout Quality Network:

CareScout can help you find providers you may be able to use for your long-term care needs, whether you need help for yourself or for a loved one. Providers in CareScout’s Quality Network have agreed to preferred pricing for our members, meet CareScout’s quality standards, and are committed to person-centered care. Providers outside the CareScout Quality Network may provide the same or similar levels, types, and quality of services, but they have not agreed to preferred pricing for our members. Preferred pricing from providers in CareScout’s Quality Network varies depending on the provider and service(s) received.

CareScout’s Quality Network Provider standards:

Participating Providers in the CareScout Quality Network meet CareScout’s quality standards for licensure, certification, accreditation, financial health and organizational integrity. CareScout reviews these Providers through a rigorous process, including, but not limited to, evaluating the Provider’s organizational structure, management and staffing procedures, organizational sanctions, operational procedures, cultural competency, and customer satisfaction reviews. As part of CareScout’s performance management program, these Providers are periodically monitored.

Person-centered care at our core:

CareScout requires that Providers prioritize person-centered care. Person-centered care looks beyond safety and integrates your values, preferences, and goals into the care you receive. This approach creates a partnership between caregiver and care recipient that addresses the physical, mental, spiritual, and social elements of a person's well-being. CareScout regularly surveys both a Provider’s customers, as well as their staff, to measure how well they adhere to the person-centered care approach.

What we don’t do:

Search results are not designed to help you identify a Provider of services covered by Medicare, Medicaid, or other federal or state health care programs, and you don’t have to use any Provider identified by CareScout. Any preferred pricing available through the CareScout Quality Network will not apply to services or any portion of services covered by a federal or state health care program.

If you are using long-term care insurance to pay for your care needs, you are responsible for confirming the eligibility of any Provider under any policy. If you have questions about insurance coverage, claim eligibility, or whether the services of a Provider, including a Provider identified by CareScout or that you identify elsewhere, are eligible for policy coverage, please contact your insurance company.

You are under no obligation to use CareScout to locate a Provider or to use any Provider CareScout identifies.

Providers are solely responsible for the care and services they provide:

CareScout does not provide care services and is not responsible for the delivery of care services or actions of any Provider you select. Any services you receive from a Provider are solely the responsibility of that Provider.

Preferred pricing may not be available in all instances:

Preferred pricing may not be available in all instances. For example, preferred pricing will not apply to services paid by a federal or state health care program. Also, preferred pricing may only last as long as the provider continues to be in the CareScout Quality Network. Our online directory of CareScout Quality Network Providers is always current and can be found at CareScout.com. In addition, preferred pricing may only be available to new customers of a Provider in the CareScout Quality Network and not existing customers of that Provider. Please call CareScout if you are an existing customer of a Provider and would like to know if it is part of the CareScout Quality Network and, if so, whether it will provide you with preferred pricing.

Relationship between CareScout and Providers

CareScout and Providers have a contractual relationship that provides the CareScout Quality Network. If a Provider is in our CareScout Quality Network, we have an agreement in place with them entitling our members to reduced pricing. CareScout is not paid by the Providers for the search results, placement, or for any services that they may provide you.  

Disclaimer of Warranties

CARESCOUT DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES WITH REGARD TO THE INFORMATION, SERVICES, AND MATERIALS CONTAINED ON THIS SITE OR OTHERWISE PROVIDED BY CARESCOUT, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALL SUCH INFORMATION, SERVICES, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.  

Limitation of Liability

IN NO EVENT SHALL CARESCOUT BE LIABLE FOR ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, BUSINESS, DATA OR PROFITS, LITIGATION AND THE LIKE, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CareScout shall not be liable for any services purchased or contracted with third parties off of the website. You agree to release CARESCOUT from any and all claims, demands, and damages arising from or in any way connected with your use of third-party products or services, including but not limited to any disputes, loss, or damage of any kind that may arise as a result of your interactions with Providers OR PARTNERS. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THIS AGREEMENT AND THE SITE WOULD NOT BE PROVIDED TO YOU ABSENT SUCH LIMITATIONS. SOME STATE STATUTES MIGHT APPLY REGARDING LIMITATION OF LIABILITY.

Indemnification

You agree to indemnify, defend and hold harmless CareScout and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to your violation of this agreement, or obligation set forth herein. You agree to cooperate as fully as reasonably required in the defense of any such claim or action. CareScout reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with CareScout in asserting any available defenses. 

Proprietary Rights

All materials and content of the Services and the website (as well as the organization and layout of the website) are owned and copyrighted by CareScout or its Providers and Partners and may, except where expressly indicated, be accessed, downloaded or printed for your personal non-commercial use only. In addition to copyright laws, you acknowledge that the content and materials on this website may also be protected by trademarks, patents, trade secrets, and other proprietary rights or laws. Without the prior written permission of CareScout, you may not frame or use framing techniques, sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from any material and content on this website, in whole or in part for your commercial use.

You agree to use the website and its content and materials only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the website. Any unauthorized use terminates the permission or license granted by CareScout.

If you believe that your work has been copied and is accessible on the website in a way that constitutes copyright infringement, please contact CareScout to report the possible infringement.

Changes

CareScout may make improvements or changes in the Services or in the information, services, products, and other materials you receive, or terminate any Service in whole or in part, at any time without prior notice or liability. CareScout may modify this Agreement at any time, and such modifications shall be effective immediately upon posting the modified Agreement. Accordingly, you agree to review the Agreement periodically, and if you do not agree to any provision of this Agreement or any modification to this Agreement, you must immediately cease using the Services and your CareScout ID. Your continued use of the Services and the CareScout ID following any modification of this Agreement will be conclusively deemed your acceptance of the modified Agreement. You acknowledge and agree that CareScout will not be liable for any modification, suspension, or discontinuation of the website or any part thereof.

Governing Law

This Agreement shall be governed by the laws of the State of New York, United States of America, without giving effect to its conflict of laws provisions, except as to matters relating to arbitration, which shall be governed by the Federal Arbitration Act.

You agree that any dispute between you and CareScout arising out of or relating to this Agreement, or the Services will be decided only by arbitration, individually and not on a class-wide basis. You knowingly waive any right to participate in any form of "class," "joint" or "representative" litigation (including in any "private attorney general capacity") against CareScout. Any arbitration will be administered by the American Arbitration Association and will take place in New York, NY, U.S.A.

Waiver of Jury Trial

YOU AND CARESCOUT HEREBY IRREVOCABLY WAIVE ANY AND ALL RIGHT TO A TRIAL BY JURY WITH REGARD ANY DISPUTE, CLAIM, QUESTION, OR DISAGREEMENT ARISING OUT OF OR RELATING TO OR IN CONNECTION WITH THESE TERMS AND CONDITIONS OF USE, THE PRIVACY POLICY, THE SITE, ANY MATERIAL, OR THE RELATIONSHIP OF THE PARTIES HEREUNDER.
